Course overview

There are major changes happening to Companies House under the Economic Crime and Corporate Transparency Act. The Government has described the measures as "the most fundamental change to the purpose and role of Companies House, since its creation”. The changes impact all UK registered companies and a number of the provisions are already in place, with more to come throughout the year.

This half-day course is crucial for anyone responsible for company administration and governance. It will guide you through the details of all the changes, their implications for companies and most importantly, exactly what actions you must take to remain compliant. This includes a comprehensive look at the recent introduction of voluntary identity verification for company directors and PSCs - a significant development, which will be quickly followed by it becoming a mandatory requirement later this year.

What will be covered?

The course will cover...

  • The obligation to verify the identities of directors, PSCs and individuals filing on behalf of companies, including...
    • The rules and regulations governing how ID verification works
    • Who needs to ID verify and by when
    • How to ID verify using the Companies House online service
    • ID verification by Authorised Corporate Service Providers - who can be an ACSP, how they become one and how they ID verify clients
    • What the public can see about ID verification and what stays confidential
    • What presenters must tell Companies House when filing under the new rules
  • How changes already in force are working out, including…
    • The Registrar of Companies' new statutory objectives
    • Restrictions on when new directors can start to act
    • New powers of Companies House, allowing them to…
      • Cross-check and reject/remove information filed by other public and private bodies
      • Impose financial penalties for failure to comply with Companies Act obligations
      • Query, reject, remove and annotate information if it appears suspicious, fraudulent, malicious or impacts the integrity of the register
    • Companies House stated priorities and enforcement policies
    • Regulation of company registered offices and statutory email addresses
    • Restrictions on company names
    • Changes to annual Confirmation Statements filed at Companies House
