Mandatory ID verification - what you need to know

As part of the UK's ongoing efforts to combat economic crime and enhance corporate transparency, significant changes are being introduced to the Companies House processes. These reforms include the introduction of mandatory identity verification for directors and Persons with Significant Control (PSCs) – both existing and new.

Voluntary verification now available

Since 8th April, individuals can voluntarily verify their identity with Companies House. This can be done directly through the GOV.UK One Login service or via an Authorised Corporate Service Provider (ACSP). Verification involves providing personal details and documentation, such as a passport and may include biometric checks.

Mandatory verification timeline

ID verification will become a legal requirement in the very near future. From autumn 2025, new directors and PSCs must verify their ID upon appointment or incorporation. Existing directors and PSCs will have a 12-month period to complete verification, aligned with their next confirmation statement.

Implications for businesses

Failure to comply with the mandatory verification requirements will have serious consequences. Non-compliant individuals will be unable to:

  • Make filings with Companies House
  • Incorporate new companies
  • Register as an ACSP

Directors who continue to act without verifying their identity may face disqualification and potential financial penalties. Companies may also be committing an offence.

Preparing for the changes

To ensure compliance, we recommend that companies:

  • Encourage directors and PSCs to verify their identities during this voluntary period
  • Familiarise themselves with the verification process and required documentation.
  • Monitor updates from Companies House regarding the introduction of mandatory verification.

By proactively addressing these requirements, businesses can ensure a smooth transition and maintain compliance with the new regulations.
